Senior Legal Advisor

Job Overview

This role provides legal support and advice to various areas within the business including joint venture negotiations, product transportation agreements, product sales and marketing, procurement of goods and services, acquisitions & divestments and disputes. Support to teams dealing with the regulators will also be required. The individual will require to support several key stakeholders across several stakeholder groups and be fully integrated within the Legal and Commercial team.

Roles and Responsibilities

Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action

Liaising with external regulators and advisers, such as external law firms

Providing legal advice in relation to all aspects of the Client’s business.

Advising on regulatory compliance issues, in particular in relation to production licences under the Petroleum Act and also in relation to matters involving OGA, BEIS and HSE. Experience of working with these regulators and understanding their powers and obligations is essential.

Drafting and negotiating a wide range of commercial agreements relating to Client’s operated and non-operated assets; including SPAs, JOAs, Transportation Agreements, Product Sales etc.

Providing support to Client’s business development activities; in due diligence and other elements of corporate transactions

Liaison with and support to Supply Chain in relation to procurement for production operations and capital projects

Assisting with the establishment, liquidation and management of subsidiaries, and advising on subsidiary governance

Key knowledge and experience

Can demonstrate sound experience in all aspects of upstream activities including negotiation and drafting of UKCS oil and gas agreements

Working knowledge of industry standard agreements and practices

A strong understanding of upstream E&P activity where practical experience must be demonstrated

Comprehensive understanding of the key strategic drivers relevant to upstream operations and the risks that require to be mitigated against

Excellent written and verbal communications skills

Good interpersonal skills and demonstrated ability to work in cross functional teams

Strong team player

Excellent computer skills, word, PowerPoint, excel

Ability to prioritise, multi-task and work with minimal supervision

Education and Qualifications

Qualified solicitor: England and Wales/Scotland

Post qualification experience in a similar role (private practice or in-house) required in order to demonstrate (1) the ability to operate with a degree of independence; and (2) the ability to handle a busy and extremely diverse workload.
